Job Summary
This position provides advanced level corporate regulatory compliance and external corporate communications support to the FG fertilizer business division and other businesses including but not limited to Fatima Cement, Fatima AG Solutions, Herbeauty, Fatima Ventures, Multan Real Estate, Agro Digital, Fatima Petroleum etc.
The position is expected to be well conversant with managing the corporate governance, regulatory compliance, and relevant external corporate communications affairs of a public listed company.
The position shall also be expected to manage the team and enable capacity building, strategizing, and enchanting technical and soft skills.
Key Responsibilities
This position is responsible for providing overall corporate secretarial and regulatory compliance support to the Deputy Company Secretary and external corporate communications services including designing and developing annual and sustainability corporate reports, maintenance of websites, publication of ads, notices in newspapers, etc. The corporate services include drafting of minutes, resolutions, notices, and management of corporate secretarial documents, maintaining statutory documents, filing statutory returns through the SECP eServices portal, the conduct of external audits, and liaising with other departments of the company with the objective of identifying/conveying, assessing and managing and mitigating potential risks, managing and providing effective corporate secretarial cover and support, eliminating and minimizing corporate and or financial exposure and optimizing costs and resources within the prescribed timelines, guidelines and approved budget.
This position also provides support for handling of shares registrar department affairs and other related issues of shares department and shareholders including shares transmission, succession, and dividend payments.
This position is also responsible for managing the effective relationship with company registrar offices and auditing and review of compliance with best practices of the listed companies code of corporate governance regulations.
Required Knowledge & Skills
This position is expected to be well versed in regulatory compliance framework including the Companies Act, 2017, Code of Corporate Governance regulations, Listing Regulations of Pakistan Stock Exchange PSX, CDC Regulations, and other corporate laws together with statutory notifications issued from time to time by Securities and Exchange Commission of Pakistan SECP, PSX, etc. and expert knowledge of best annual and sustainability corporate reports criteria, website handling and maintenance.
This position demands strong interpersonal and communication skills, outstanding planning and organization skills, relationship management skills, ability to work under tight deadlines and manage several projects simultaneously.
